Consulting Services Description & Deliverables

Effective June 2026

This document is the general service framework for D.O.X Capital engagements. It is paired with an order, proposal, or statement of work that states the exact scope, deliverables, fees, dependencies, timing, revisions, and acceptance criteria.

1. Service description

D.O.X Capital offers capital-structuring and business-funding advisory and document-packaging services, including entity structuring, diligence and document preparation, underwriting coordination, and introductions to independent lenders and funding partners. A service begins only when D.O.X Capital accepts an order or signs a statement of work. General website language, exploratory calls, or marketing do not create a duty to provide an unlisted deliverable.

2. Deliverables

The specific deliverables, their format, and the delivery method are identified in your order, which also states objective completion and acceptance criteria. Examples and templates are illustrative unless included in the order. A lender approval, regulatory decision, tax result, or other third-party action is not a deliverable under our control.

3. Exclusions

Unless a verified, separately licensed engagement expressly provides otherwise, our services exclude legal opinions, tax returns or tax advice, audits, securities placement, investment advice, lender underwriting, loan brokering, credit repair, debt relief, insurance, custody of funds, government representation, and guarantees. A requested activity outside scope requires review and may be declined.

4. Client responsibilities

You must provide accurate and complete information, timely decisions, authorized access, and lawful materials. You review and approve final representations and remain responsible for filings, applications, contracts, taxes, compliance, and third-party decisions. We may rely on your information unless the order requires verification.

5. Timing and milestones

Estimated timing and milestones are set out in your order. Timing begins after payment, required assent, and complete inputs. Client delay, a scope change, third-party response, force majeure, or a newly discovered risk may adjust the schedule with notice. A deadline is guaranteed only if expressly identified as such.

6. Fees and expenses

Fees are stated in your order, which distinguishes fixed fees, deposits, milestone fees, hourly charges, recurring charges, reimbursable expenses, taxes, and third-party costs. We do not charge a contingency, success, lender-paid, or transaction-based fee for arranging financing. Payment and refund terms match checkout.

7. Revisions and acceptance

Included revisions and the review period are stated in your order. You should review promptly and describe any material failure against the written criteria. Silence is acceptance only if the order clearly and lawfully says so. Correction, re-performance, or other remedies follow the order and the Refund, Cancellation & Fulfillment Policy.

8. Change orders

A change to scope, deliverables, assumptions, fee, timeline, or acceptance criteria requires a written change order describing the difference and effect. Work outside scope need not begin until accepted. A general website-policy amendment cannot unilaterally change a purchased service.

9. Funding, lender, and referral role

D.O.X Capital acts as an advisory and document-packaging firm. It is not a lender, loan broker, or securities dealer, and it does not collect transaction-based or success-based compensation for arranging financing. Any lender or funding partner decides independently and applies its own criteria, and any referral compensation is disclosed where material.

10. No guarantee

We do not guarantee funding, approval, an introduction, amount, rate, term, credit result, entity protection, tax treatment, savings, revenue, profitability, or another result. A consulting deliverable may identify options or risks without causing a third party to act. Any objective advertising claim is substantiated before use.

11. Professional boundaries

Unless a separate licensed engagement expressly says otherwise, the service is general business consulting and does not create an attorney-client, accountant-client, investment-adviser, broker-client, lender-borrower, fiduciary, or tax-adviser relationship. The Legal & Professional Advice Disclaimer and the Financial, Securities & Tax Disclaimer apply.

12. Communications and confidentiality

The parties protect confidential information using reasonable care and use it for the engagement, subject to law, vendors, and the Privacy Policy. No absolute secrecy or privilege is promised. Do not use insecure channels for unnecessary sensitive data.

13. Data, uploads, and AI

If uploads or AI-assisted review are used, the Document Upload & Processing Notice and the Automated Document Processing & AI-Assisted Review Disclosure apply, and you may not assume human review, no training, or immediate deletion unless those facts are stated and verified.

14. Intellectual property

Pre-existing materials remain with their owner, and client-specific ownership or license terms are set out in your order. D.O.X Capital retains general knowledge, methods, tools, and reusable elements that do not disclose your confidential information, subject to the order. Third-party materials remain under their licenses.

15. Subcontractors and third parties

We may use subcontractors only within the agreed scope and with appropriate confidentiality, privacy, security, and licensing controls. Lenders, lawyers, accountants, vendors, and referral parties are independent unless expressly stated, and their decisions and services are governed by separate terms.

16. Conflicts and refusal

We disclose known material conflicts and referral compensation and may decline or pause work that appears unlawful, deceptive, outside our competence, unsafe, or dependent on missing authority. A refusal does not waive a required refund for unperformed work.

17. Cancellation and completion

Cancellation and refund are governed by your order and the Refund, Cancellation & Fulfillment Policy. On completion or termination, we deliver completed paid work as required, return or delete materials according to the retention policy, invoice lawful amounts, and identify open dependencies. Continuing support requires a new or extended order.

18. Order precedence

Your signed order controls a direct conflict about a specific engagement. These service terms, the Terms of Service, the Privacy Policy, and applicable special notices then apply.
