Terms of Service & User Agreement

Effective June 2026

These Terms of Service and User Agreement ("Terms") govern access to https://www.thedoxs.com and every account, application, membership, consultation, purchase, communication, portal, upload, or other service that links to them.

1. Parties and acceptance

These Terms are between the person or organization using the Services ("you") and D.O.X Capital, operating under the D.O.X Capital brand ("D.O.X Capital," "we," "us," or "our"). If you act for an organization, you represent that you have authority to bind it.

You accept these Terms through a conspicuous acceptance control presented with a working link to the version you are accepting. Passive browsing alone does not constitute acceptance of any provision that requires affirmative assent. The acceptance record identifies the exact version, effective date, displayed checkbox language, timestamp, transaction or account, and any separately accepted agreement, subscription terms, upload authorization, or electronic-record consent.

2. Eligibility and authority

You must be at least 18 years of age and legally capable of entering a binding contract. You may not use the Services if law prohibits your use or if we previously suspended you for material misuse. You must provide accurate information, keep it reasonably current, and submit information or materials only when you have lawful authority to do so.

The Age Eligibility and Minors Policy applies. An adult acting for a business, trust, estate, or other person must have appropriate authority. D.O.X Capital may request reasonable evidence of authority, but any review does not guarantee that the authority is valid.

3. Nature and scope of the Services

The Services are limited to capital-structuring and business-funding advisory and document-packaging services — including entity structuring, diligence and document preparation, underwriting coordination, and introductions to independent lenders and funding partners — and the deliverables expressly identified in the applicable order, proposal, or statement of work. Website descriptions are general and do not expand a signed order or create a guaranteed outcome.

Unless a separately verified and licensed engagement expressly states otherwise, the Services do not constitute lending, brokering, securities placement, investment advice, legal advice, tax advice, accounting, credit repair, debt relief, insurance, real-estate brokerage, or another regulated professional service. Any lender, vendor, referral partner, or public agency makes its own independent decisions.

4. Membership; no legal immunity

If a distinct membership program is enabled, membership begins only after the applicant accepts the applicable membership agreement, completes the stated admission process, pays any disclosed fee, and receives confirmation of admission. An account, website visit, inquiry, or purchase does not automatically make a person a member.

D.O.X Capital's description of a membership arrangement does not create a general exemption from consumer-protection, privacy, accessibility, licensing, tax, advertising, anti-discrimination, criminal, or other applicable law. No provision in this document waives a right or duty that applicable law does not permit the parties to waive.

5. Accounts and security

You are responsible for safeguarding credentials and for activity reasonably attributable to your account. Do not share passwords or authentication codes, circumvent access controls, impersonate another person, or allow unauthorized use. Notify us promptly at admin@thedoxs.com of suspected compromise. We may require authentication, pause activity, or reset credentials to protect the Services or users.

No security measure eliminates all risk. Account recovery, monitoring, and preservation of security records follow the Privacy Policy and Data Retention and Deletion Policy.

6. Orders, pricing, taxes, and payment

The price, taxes, fees, one-time or recurring nature of a charge, merchant of record, and billing descriptor are displayed before payment, and the material commercial terms of any paid engagement are set out in your written engagement agreement. You authorize only the charge presented at the final order step.

An order is accepted when payment is authorized, required assents are recorded, and we send confirmation. We may reject or cancel an order that is unlawful, fraudulent, technically infeasible, outside the stated scope, duplicative, or affected by an obvious pricing error, subject to applicable refund duties. Recurring charges, if any, require separate consent.

7. Fulfillment, client dependencies, and changes

Estimated performance time is set out in your order and is an estimate unless the order expressly identifies a guaranteed date. Your responsibilities include providing accurate information, timely documents, and access to a decision-maker. Delay, incomplete information, third-party response times, or a requested scope change may affect timing and price.

A material change to deliverables, fee, acceptance criteria, or timeline requires a documented change order or other bilateral assent. Website updates cannot silently reduce a purchased deliverable. The Refund, Cancellation and Fulfillment Policy governs cancellations, refunds, and failed delivery.

8. Customer materials and uploads

As between the parties, you retain rights you lawfully possess in materials you provide. You grant D.O.X Capital and its processors a limited, nonexclusive license to host, copy, transmit, convert, analyze, and otherwise process those materials only as reasonably necessary to provide, secure, support, document, and enforce the requested Services; comply with law; and address disputes, subject to the Privacy Policy.

Where uploads are enabled, the Document Upload and Processing Notice applies and separate authorization may be required. Do not submit unnecessary Social Security numbers, full payment-card data, passwords, authentication secrets, health information, information about children, or other sensitive data unless the verified workflow specifically requests and protects it.

9. Acceptable use

You may not use the Services to violate law or another person's rights; deceive, defraud, harass, threaten, discriminate, or impersonate; introduce malicious code; defeat security, rate, or access controls; scrape or systematically extract content without written authorization; reverse engineer protected components except where law permits; submit unlawfully obtained material; make false funding, approval, affiliation, or professional claims; or use a deliverable to mislead a lender, regulator, court, counterparty, or consumer.

We may investigate and restrict suspected misuse proportionately.

10. Third parties and no affiliation

The Services may link to or interact with independent lenders, processors, hosting providers, communications tools, consultants, data sources, government records, or other third parties. Their services, eligibility criteria, decisions, terms, privacy practices, accuracy, and availability are outside our control. A link, referral, introduction, name, or logo does not establish affiliation, endorsement, agency, partnership, or a guarantee.

11. No professional advice or guaranteed result

Information and consulting outputs must be evaluated in context and verified before reliance. Unless a separate engagement with a properly licensed professional expressly says otherwise, no attorney-client, accountant-client, investment-adviser, broker-client, lender-borrower, tax-adviser, fiduciary, or similar professional relationship is created.

D.O.X Capital does not guarantee lender approval, access to capital, a funding amount or rate, credit improvement, tax treatment, entity protection, business performance, or any other result. Third parties make their own decisions and may change criteria. The Legal & Professional Advice Disclaimer and the Financial, Securities & Tax Disclaimer are incorporated.

12. Intellectual property

Except for user materials and third-party content, the website, original text, graphics, workflows, compilations, and other original materials are owned by or licensed to D.O.X Capital. Subject to these Terms, you receive a limited, revocable, nonexclusive, nontransferable license to use the Services and purchased deliverables for the lawful internal or personal purpose stated in the order. No license to third-party databases, marks, or proprietary methods is conveyed.

13. Privacy, cookies, automation, and accessibility

The Privacy Policy describes personal-information practices. The Cookie & Tracking Technologies Policy, Privacy Choices & Consumer Rights Notice, Data Retention & Deletion Policy, and Age Eligibility & Minors Policy apply where relevant. Consent for a particular processing activity will be requested separately when required.

Where AI or automated processing is enabled, the Automated Document Processing & AI-Assisted Review Disclosure applies. Automated output may be inaccurate and must not be used as the sole basis for a consequential decision unless the actual workflow and law permit it. Accessibility requests are handled under the Accessibility Statement.

14. Electronic communications and records

You agree to receive transactional communications electronically at the address or account channel you provide, subject to any separate consumer E-SIGN disclosures that law requires. Marketing consent is separate and optional. Keep contact information current. You may request paper copies or withdraw a legally required electronic-record consent by contacting us at admin@thedoxs.com.

We will make accepted terms reasonably retrievable and will preserve acceptance evidence under the applicable retention schedule. E-SIGN does not apply to every record and excludes certain categories; specialized notices use a legally valid method.

15. Suspension and termination

We may suspend or terminate access for material breach, fraud, nonpayment, security risk, unlawful activity, abuse, or a threat to the Services or others. Where practical and lawful, we will provide notice and an opportunity to cure a curable breach. You may stop using the Services and may close an account by contacting us at admin@thedoxs.com.

Termination does not erase accrued payment obligations or provisions that by their nature survive, including ownership, confidentiality, restrictions on misuse, dispute terms, and lawful record retention. Refunds remain governed by the Refund Policy and applicable law.

16. Disclaimers and liability limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND RESULTS, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, D.O.X CAPITAL AND ITS OWNERS, OFFICERS, PERSONNEL, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO D.O.X CAPITAL FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE LIABILITY. The limitation does not apply where prohibited, including liability that cannot lawfully be limited.

17. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless D.O.X Capital and its owners, officers, personnel, contractors, and agents from and against any third-party claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising from or relating to your use of the Services, your violation of these Terms or applicable law, your submission of material you lacked authority to provide, or your reliance on any output in a manner inconsistent with these Terms. This obligation does not require indemnification for our own unlawful conduct or another matter for which indemnification is prohibited. We will provide reasonable notice and may participate in the defense with counsel of our choosing, and you may not settle in a way that admits our fault or imposes a nonmonetary obligation on us without our consent.

18. Changes and order of precedence

We may amend these Terms prospectively. Material changes will receive appropriate advance notice and fresh assent where law or contract requires it, particularly for price, renewal, dispute, class-waiver, governing-law, liability, refund, data-use, or core service changes. Continued use alone will not be treated as assent where affirmative re-consent is required.

A signed order or statement of work controls a direct conflict about that transaction. Next, the applicable service-specific terms control; these Terms then apply. The Privacy Policy governs personal-information descriptions.

19. Disputes and governing law

These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the state of D.O.X Capital's principal place of business, without regard to conflict-of-laws rules, and the specific governing state and exclusive venue are confirmed in your written engagement agreement. Mandatory law, jurisdiction, and forum rights that cannot be waived remain preserved. Before commencing a formal proceeding, the parties should first send a written notice describing the dispute and the relief requested, without delaying any statutory deadline.

20. General provisions

Neither party waives a right by delaying enforcement. If a provision is unenforceable, it will be applied to the maximum lawful extent and the remainder will continue unless the agreement's essential purpose would be defeated. We may assign these Terms in connection with a lawful merger, acquisition, reorganization, or sale, subject to applicable notice and consent duties; you may not assign them without written consent except where law permits.

Nothing in this document excludes, restricts, or modifies a warranty, remedy, right, duty, or liability that applicable law does not permit the parties to exclude, restrict, or modify.
